Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "Landlord," "Tenant," or "Renter") and Symph, Inc. ("Symph," "we," "us," or "our"), the developer and operator of RentCircle ("Service," "Platform," or "App").

By downloading, installing, accessing, or using RentCircle — whether through the iOS or Android app, the tenant portal at payrent.to, or the RentCircle website and rental marketplace at rentcircle.ph — you confirm that:

• You have read and understood these Terms;
• You agree to be legally bound by them; and
• You have the legal authority to enter into this agreement on your own behalf or on behalf of the entity you represent.

These Terms apply in addition to any applicable platform-specific agreements:

• iOS (Apple App Store): Apple's Standard End User License Agreement (EULA) applies. In the event of a conflict, Apple's EULA governs for iOS users.
• Android (Google Play): Google Play's Terms of Service apply. In the event of a conflict, Google Play's Terms govern for Android users.

2. Description of Services

RentCircle is a property management platform designed to help landlords manage rental properties, track payments, communicate with tenants, advertise vacancies, and streamline operations. The platform consists of the following components:

RentCircle is a software tool only. We do not act as a party to any rental agreement, lease contract, or landlord-tenant relationship. We are not a real estate broker, property manager, leasing agent, payment processor, or financial institution.

3. Accounts & User Roles

A person may use RentCircle in one or more of the following roles:

• Landlord: A property owner or manager who uses the landlord app to manage units, tenants, and finances, and who may advertise units on the marketplace.
• Tenant: A renter with an existing tenancy under a RentCircle landlord who uses the tenant portal to manage that tenancy.
• Renter: A member of the public who browses the rental marketplace and may submit inquiries about listings, without necessarily having any existing tenancy.

Dual roles. A single RentCircle account may hold more than one role. For example, a landlord may also be a tenant of another RentCircle landlord and may switch between "landlord" and "tenant" modes within the app. Where you act in more than one role, the responsibilities of each role apply to your conduct in that role.

4. Eligibility

To use RentCircle, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher;
• Have the legal capacity to enter into binding contracts;
• Not be prohibited from receiving services under applicable law; and
• If registering as a landlord, have legitimate authority over the properties you manage or advertise through the platform.

RentCircle is not intended for use by minors. If we discover that a minor has created an account, we will terminate it immediately and delete associated data.

5. Account Registration & Security

Users register and sign in through Firebase Authentication, using a mobile number with one-time passcode (OTP), an email sign-in link, or a supported identity provider (Google, Apple, or Facebook). You agree to:

• Provide truthful information during registration and keep it updated;
• Maintain the confidentiality of your login credentials and any one-time passcodes;
• Not share your personal login with any other person (to grant access to co-workers, use the Team Members feature described in Section 9);
• Notify us immediately at support@rentcircle.ph upon discovering any unauthorized access to your account; and
• Accept full responsibility for all activities that occur under your account.

Symph reserves the right to refuse service, terminate accounts, or remove content at our sole discretion, subject to these Terms.

6. Landlord Responsibilities

As a landlord using RentCircle, you acknowledge and agree that:

• Tenant Data Accuracy: You are solely responsible for the accuracy and legality of all tenant information you enter into the platform, including names, contact details, rental amounts, and lease terms.
• Tenant Consent: You are responsible for obtaining any required consent from tenants before collecting, uploading, or processing their personal information through RentCircle, in compliance with applicable data privacy laws including the Philippine Data Privacy Act (Republic Act No. 10173).
• Lease Compliance: You are solely responsible for the legality and enforceability of any lease agreement managed through the platform. RentCircle does not review, validate, or guarantee any lease document.
• Payment Verification: Symph is not responsible for verifying whether payments submitted by tenants are genuine. Landlords bear sole responsibility for independently verifying payment proof and confirming receipt of funds.
• Listing Accuracy: You are solely responsible for the accuracy, legality, and non-infringing nature of any listing you publish on the marketplace, including photos, pricing, availability, and property descriptions (see Section 8).
• Communications: All SMS messages, announcements, chat messages, and other communications sent through RentCircle are your responsibility. You must not use the platform to send spam or harassing, discriminatory, or unlawful messages.
• Team Access: If you grant other people access to your account through the Team Members feature, you remain responsible for their actions within your account (see Section 9).

7. Tenant Portal & Tenant Data

The tenant portal — available on the web at payrent.to and as a native "tenant mode" in the mobile app — is provided as a convenience feature for tenants of RentCircle landlords. By using the tenant portal, tenants agree to:

• Use the portal solely for viewing and managing their own tenancy information;
• Not attempt to access another tenant's data or portal;
• Upload only authentic, unaltered proof of payment documents;
• Provide accurate information in requests, messages, and profile updates; and
• Understand that their landlord, not Symph, controls what information is displayed and how payment verification is handled.

Important: RentCircle is a tool that facilitates communication between landlords and tenants. Symph is not a party to any landlord-tenant agreement and bears no liability for disputes, payment disagreements, lease violations, or any other matter arising from the landlord-tenant relationship.

Tenant data (including personal details, payment history, uploaded documents, and messages) is stored on behalf of the landlord. Tenants may request deletion of their data by contacting their landlord directly or emailing us at support@rentcircle.ph.

8. Rental Marketplace & Listings

The rental marketplace at rentcircle.ph lets landlords advertise available units and lets prospective renters browse those listings and submit inquiries.

For Landlords Who Publish Listings

• You are solely responsible for the content and accuracy of your listings, including photos, pricing, availability, location, and descriptions.
• You must have the legal right to advertise the unit and to use any images or materials you upload.
• Listings must not be false, misleading, discriminatory (in violation of applicable fair-housing or anti-discrimination laws), or otherwise unlawful.
• Published listings and their non-sensitive details are publicly visible and may be indexed by search engines.
• Listing features may require a paid subscription (see Section 11). Symph may remove or decline any listing that violates these Terms.

For Renters Who Submit Inquiries

• When you submit an inquiry, the contact details and message you provide (such as your name, phone number, email, message, and desired move-in date) are shared with the landlord who published that listing so they can respond to you.
• You must provide accurate information and use the marketplace only for genuine rental inquiries.
• You must not use inquiry channels to send spam, solicitations, or unlawful content.

Symph is not a real estate broker or leasing agent. We do not verify, endorse, or guarantee any listing, landlord, renter, or the availability, condition, or legality of any advertised unit. Any viewing, negotiation, lease, or transaction is solely between the landlord and the renter. You are responsible for exercising your own due diligence before entering into any rental arrangement.

9. Team Members & Shared Access

The Team Members feature lets an account owner grant other individuals (such as property managers or caretakers) scoped access to the owner's account instead of sharing login credentials. If you use this feature:

• The account owner is responsible for who they invite and for the actions those team members take within the account.
• Team members must use the access only for the owner's legitimate property-management purposes and in accordance with these Terms.
• The account owner may revoke a team member's access at any time; Symph may also suspend access that is misused.
• Where a paid plan is shared with team members, entitlements are governed by the owner's subscription and Section 11.

10. AI Features (Vico)

RentCircle includes an in-app AI assistant ("Vico") that helps you work with your data using natural language — for example, answering questions about your tenants, invoices, and reports, and helping you draft content.

• Vico is powered by Google's Vertex AI / Gemini models. When you use Vico, the relevant prompt and context needed to answer your request are sent to Google's AI service to generate a response.
• AI-generated responses may be inaccurate, incomplete, or out of date. Do not rely on Vico for legal, financial, tax, or other professional advice. You are responsible for reviewing and verifying any AI output before acting on it.
• You must not use Vico to generate unlawful, harmful, deceptive, or infringing content.
• Your use of AI features is also subject to the applicable Google terms referenced in Section 15. Symph is not liable for decisions you make based on AI output.

11. Subscriptions & Payments

RentCircle offers free and paid plans. Paid features (including higher-tier landlord tools and marketplace listings) are available through subscriptions billed through the applicable platform.

iOS (Apple App Store)

• Subscription charges are billed to your Apple ID account at confirmation of purchase.
• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
• Manage or cancel subscriptions through your Apple ID account settings.
• No refunds are provided for unused portions of a subscription period, except as required by applicable law or Apple's refund policy.

Android (Google Play)

• Subscription charges are billed to your Google Play account at confirmation of purchase.
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• Manage or cancel subscriptions through your Google Play account settings.
• Refunds are subject to Google Play's refund policy.

Web & Marketplace

• Certain plans and features (such as marketplace listing subscriptions) may be purchased or managed through our website via our third-party payment provider (e.g., PayMongo), under that provider's own terms.
• You can manage eligible web subscriptions through the billing management pages we provide.

General

• Symph reserves the right to change subscription pricing with reasonable advance notice.
• Continued use of the Service after a price change constitutes acceptance of the new pricing.
• Symph does not process, store, or have access to your Apple ID, Google Play, or card payment credentials.
• Tenant payments to landlords are not processed by Symph. Any online payment integration (e.g., PayMongo) operates under that provider's own terms and agreements.

12. SMS Credits

RentCircle provides SMS messaging features that consume SMS credits. Regarding SMS credits:

• SMS credits are purchased separately and are non-refundable once consumed.
• Credits are tied to your landlord account and may not be transferred.
• Symph does not guarantee SMS delivery rates, as delivery depends on third-party telecommunications providers and recipient carrier availability.
• You are solely responsible for the content of any SMS messages sent through RentCircle.
• Symph reserves the right to suspend SMS functionality if messages violate these Terms or applicable regulations.
• Unused SMS credits will not be refunded upon account termination.

13. Acceptable Use

You agree not to use RentCircle to:

• Violate any local, national, or international law or regulation, including the Philippine Data Privacy Act (R.A. 10173) and applicable fair-housing or anti-discrimination laws;
• Transmit false, misleading, fraudulent, or deceptive content, including fake listings or inquiries;
• Harass, threaten, discriminate against, or harm tenants, renters, landlords, or other users;
• Upload or distribute malware, viruses, or other malicious code;
• Attempt to gain unauthorized access to other accounts, systems, or data;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Scrape, crawl, or collect data from the platform (including marketplace listings) using automated means;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the platform for any purpose other than legitimate property management or genuine rental inquiries;
• Resell, sublicense, or commercialize access to the Service without our written consent; or
• Impersonate any person or entity, including Symph or RentCircle staff.

Violation of this section may result in immediate account suspension or termination without refund.

14. Intellectual Property

All content, features, functionality, branding, software, design, and materials within RentCircle — including but not limited to the name "RentCircle," the app interface, logos, text, graphics, and code — are the exclusive property of Symph, Inc. and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use RentCircle solely for its intended purpose as described in these Terms. No other rights are granted.

You may not copy, modify, distribute, sell, sublicense, or create derivative works of any part of the Service without our express written consent.

User Content: Any content you upload to RentCircle (e.g., property photos, listing images, documents, tenant records, messages) remains yours. You grant Symph a limited license to store, display, and process that content solely to provide the Service to you — which, for marketplace listings, includes displaying them publicly and to prospective renters. Symph does not claim ownership of your content and will not use it for advertising or unrelated purposes without your consent.

15. Third-Party Services & Integrations

RentCircle integrates with third-party services to deliver its functionality. These include, but are not limited to:

• Google Firebase — data storage, authentication, and cloud functions;
• Google, Apple, and Facebook sign-in — optional identity providers for account sign-in;
• Google Vertex AI / Gemini — powers the Vico AI assistant (see Section 10);
• PayMongo — optional online payment processing for tenant payments and web subscriptions;
• RevenueCat — mobile subscription management and entitlement tracking;
• Apple App Store / Google Play — app distribution and billing;
• Third-party SMS providers — for OTP verification and tenant reminders.

Your use of any third-party service is subject to that provider's own terms and privacy policies. Symph is not responsible for the practices, availability, or actions of any third-party service provider. We do not endorse and are not liable for any third-party content, products, or services.

16. Disclaimers & Limitation of Liability

17. Indemnification

You agree to defend, indemnify, and hold harmless Symph, Inc. and its officers, directors, employees, contractors, agents, licensors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use or misuse of the Service;
• Your violation of any applicable law or third-party rights;
• Any content you upload, transmit, or make available through RentCircle, including listings and messages;
• Any dispute between you and your tenants, landlord, or a marketplace counterparty; or
• Your landlord-tenant relationship and any obligations arising from it.

18. Termination

Symph reserves the right to suspend or terminate your access to RentCircle at any time, with or without notice, for:

• Violation of these Terms;
• Non-payment of applicable subscription fees;
• Conduct that is harmful to other users, third parties, or Symph's interests;
• Requests by law enforcement or government authorities; or
• Extended inactivity or discontinuation of the Service.

Upon termination, your right to access and use the Service ceases immediately. You may request an export of your data within 30 days of termination by contacting us at support@rentcircle.ph. After 30 days, we reserve the right to delete your data in accordance with our data retention policy.

You may terminate your account at any time through the in-app account-closure option or by contacting us. Termination does not entitle you to a refund of any prepaid subscription fees or unused SMS credits.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be subject to the exclusive jurisdiction of the appropriate courts of Cebu City, Philippines, the principal place of business of Symph, Inc.

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@rentcircle.ph and giving us at least 30 days to respond and attempt resolution in good faith.

20. Changes to These Terms

Symph reserves the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page;
• Notify registered users via in-app notification or email; and
• Where required by applicable law, seek your consent before changes take effect.

Your continued use of RentCircle after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
